    Tax is rarely the reason to do a transaction, but it is frequently the reason one disappoints. The structure of a sale, a restructuring or a cross-border arrangement determines the tax outcome, and by the time the agreement is signed most of the options have closed.

    Our work divides into two parts. Compliance keeps filings and payments to the Ghana Revenue Authority accurate and on time, which is unglamorous and entirely non-optional. Planning is the earlier conversation: how a transaction should be structured, and what the consequences of each option actually are.

    We work within the law and say plainly when an arrangement is aggressive. A structure that saves tax but cannot be defended on assessment has moved a cost into the future and added interest to it.

    Common questions

    What are the tax implications of selling my business?
    They turn substantially on whether the transaction is structured as a sale of shares or a sale of assets, since the two are treated differently and the preference of buyer and seller often conflicts. This is worth modelling before terms are agreed rather than after, since the structure is very difficult to revisit once heads of terms are signed.
    Can you deal with the GRA on our behalf?
    Yes. We prepare and file returns, handle correspondence, and represent clients through reviews and queries.
    When is the right time to bring in a tax advisor?
    Before the structure is fixed. Almost all of the available planning sits at the point the transaction is designed; once the agreement is drafted the question narrows to reporting what has already been decided.
